PENANG PHILOMATHIC UNION - SUN YAT-SEN AND ITS FOUNDER
A VERY WELCOME TO THIS UPLIFTING BLOG,
There is no coincidence for me to drop in and visit the Penang Philomathic Union (PPU) Sun Yat-Sen Centre, 65 Macalister Road 10400 Penang on Aug 30, 2011. That day was Hari Raya (New Year) for the Malay communities and 31st is our National Day. AS such, many people took these long holidays for either vacation or went back to their hometowns. I passed by and took photos of something interesting for this blog. When I passed by the Macalister Road and found that the centre was opened for the public, I decided to pay it a visit after all Dr Sun was one of my childhood heroes.
I was subsequently introduced to the founder by his son who had taken me on a tour of this centre and briefed me in detail. His father told me that he decided to open during these long holidays mainly to attract and cater for both foreigners and outstation visitors, otherwise I couldn't be able to visit and meet up with both of them. Many visitors have turned up on that day and were well within his expectation. Since this centre is self reliant and he managed to get helps from numerous volunteers, including his children to man this centre to brief and guide the visitors during their visits whenever the needs arise.
Both the father and sons are very humble, helpful and friendly, we had a good chat and they even share with me their future plans and that really arose my anxiety. That's the reason one of his sons was busy shooting the photo of its exhibits with professional camera while I was there. During my tour, one of his sons also chipped in and briefed me about its history; each and every exhibition hall; its key messages from various forms such as texture, graphic, photos and models in details. I found his briefing is so lively and entertaining. I am really grateful to them for spending time and efforts to brief me in details. At last, we exchanged our call cards and I realised that his father was honoured with Dato' title.
I have no hesitation to make a strong recommendation to anyone who seeks to have real taste of entertaining life experience especially for art and culture lovers. Let us be honest to ourselves that we can't avoid to touch these two aspects in life as they are form part of everyone's life one way or the other. It has been closely associated with human civilization. I could not imagine what our lives would be without these colourful aspects. I find it very educational and very good exposure for children so as to cultivate their awareness of these aspects. Therefore, I do encourage children to visit it and discover its wonder yourself. I can assure you that you wouldn't regret it. As such, I am willing to stand forward to vouch for it and I like you to know that I really enjoyed it very much and found this centre very unique – well designed for all walks of life. Well done to our missionary founder Dato' Chuang Keng Kung.
Again, I write to express my great pleasure to meet up with him and his children and also to thank him personally for allowing me to snap photos of its exhibits for this uplifting blog. With these, we shall able to spread and promote the center further to the whole world at large. This is the least I can do in a way to sincerely thank Dato' Chuang for the great work he has done for us. I appeal to all parties to extend your support to this great missionary leader, who had taken initiatives to honour Dr Sun Yat Sen. An entrance ticket is only RM 5.00 per head is nothing compare to lots of moral value and lessons which you will learn from this great hero.
No surprise to me when I was told by the founder of this center that some foreigners especially from the Art and Cultural educational background sought his permission to snap photos to bring back to their countries as they couldn't find them there as they are not only unique and creative, yet educational.
Unfortunately, this building was a big too late to be included in as the Penang Heritage Buildings Scheme as they were finalised prior to its submission. That did not hinder this missionary leader from turning it to a reality, but continuously to spread its wings to the whole world at large. I strongly believe that it will eventually be transformed into a lively tourist place together with Penang Island to gain back its former glory. I believe it is achievable especially with more people such as the great missionary leader, Dato' Chuang step forward and steer it toward this direction.
Meanwhile, I also urge more people to step forward to extend your expertise to Dato’ to make his mission into a reality so as to leave behind a great legacy exactly like Dr Sun. Before I forget, I like to let you know there are many cultural activities carried out throughout the year in conjunction with all the festivals that are celebrated by the Chinese Communities such as Moon Cake, Dragon Boat, Chinese New Year and etc. Please come forward and join forces with this centre so that we all can celebrate these festivals on a even a larger scale and made them memorable events especially for those great people who had done so much for us.
Before I pen off, I write to give you a glance of the Exhibition Halls. Exhibits in the hall are uniquely created by local craftsmen and they depicted episodes of the life and struggle of Dr Sun - notably, the 10 attempted rebellions against the Manchu Dynasty. It portrays a series of significant memorial events that led to the success of the missionary leader, Dr Sun Yat-Sun. In order for you to truly apprehend and appreciate this historical establishment and its revolutionary activities, it is advisable for you to have a quick understanding of its history.
BRIEF HISTORY OF THE PUUS
This foundation, founded and named after DR Sun Yat-Sun, was officially established on December 1908. It serves as a political wing for his revolutionary work in Nanyang (South East Asia) with its intention to overthrow the government of the Qing (Manchu) Dynasty, which was decadent and corrupt; its politics directionless and ineffective. There are also scenes of life in the late Qing Dynasty and the early days of the republic. All the sites and buildings in Penang that Dr Sun Yat-Sen visited are in 3-dimensional exhibits. One prominent display is the sculpture erected at the centre and close behind him are his staunch aides, the first chairman and vice-chairman of the PPUS. This sculpture portrays the resolute commitment of the Overseas Chinese to justice and the revolution. It is now stand proudly at the front of its British Prestige Columbia building, which made Penangites proud of in line with the honorific award bestowed by the first President of the new republic of China - Father of the Nation.

Sun Yat-sen (12 November 1866 – 12 March 1925)[1] was a Han Chinese doctor, revolutionary and political leader. As the foremost pioneer of Nationalist China, Sun is frequently referred to as the "Father of the Nation" (國父), a view agreed upon by both the People's Republic of China[2] and the Republic of China.[3] Sun played an instrumental role in the overthrow of the Qing Dynasty during the Xinhai Revolution. Sun's chief legacy resides in his developing a political philosophy known as the Three Principles of the People: nationalism, democracy, and the people's livelihood.[5]

A GOOD LESSON FROM TRANSMILE GROUP BERHAD

We, at this blog, write to express our deepest disappointment with its latest news that Transmile Group Berhad has been delisted from the KLSE couple of months ago. Very unfortunate for me that my offer to work with them to turn around the company, made in the preceding two Annual General Meetings (AGM) ago, was declined by the existing Chief Eexecutive Officer (CEO). I recalled vividly that at that AGM, they not even put this main program of turning around the company in their agenda and that annoyed me. When I raised this issue at that time, they answered me politely that the CEO will answer my question privately after the AGM. This raised my doubts and wondered why they are so secretive.
Sidelining the main issue in the Agenda, may be due to their misplaced importance or other reason best known to them. If it is in the former case, then they should express their interest and relook at this key issue. To save their faces, they made an empty promise to answer me after the meeting privately, which never took place. Not to my surprise that they even declined my offer and were not even willing to listen to it.
As a result, it raised my doubts at that time that they intended to turn the company around, from the way they present the case to the company shareholders. That’s drove me to write and blog the article subsequently. As far as I am concern, I have tried every possible means to work with them with the hope of turning it around, which I believe it is possible. I remembered vividly that I even contacted them through phone calls after failing to hear any reply from them despite the fact that I have left my call cards with them much earlier. At that time, what struck my mind is that they might feel shame to contact me. Unfortunately my efforts were in vain. Not matter of what’s the outcome of it, I still wish them all the best and hope for the best from them.
Despite all the above had taken place, today’s outcome turn out to be in favour of my initial prediction. After I discovered that the Company had even failed to forward its financial regularisation plan to the Authorities which led them to make a painful decision to delist it from the KLSE, I was deeply hurt in my heart. No doubt, this has proven me right. But what is the point that I can’t even help them to save the company, which I have a small share in it.
Their regrettable attitude of refusing to seek appropriate help and pretending to know everything had misled the investors that they had really put their interest in the first place, that is my personal view.
Here, I felt deeply disappointed with this unfortunate outcome, which could have been avoided. Surprising to me that the Chief Financial Officer (CFO) even reassured us that there is no adverse financial impact as a result of the above decision of delisting its status from the KLSE, when one of the investors seek her clarification to her statement. I, at that time, sat silently and chose not to waste my efforts to participate in this unfruitful discussion, knowing the fact that they are not listening at all. Furthermore, the majority of the investors are in favour of the management. My contentious point here is that how could they derived their conclusion that there is no worth to its listing status. Hence, I decided to not to comment further, but with felt great disappointment silently and hope they stay awake.
To me, what is the most critical point here is to ensure the company expands its wings further so as to keep its staff and make the country’s economy prosper. With it being delisted, to make access to the public funds is no longer feasible, provided it makes a return into any Stock Exchange worldwide.
And last but least I hope they too learn from this expensive lesson, not to miss the big picture, and keep working smart and put their best efforts again to strengthen its financial footing, as expected by all investors of the Company. In this regard, I sincerely urge them to prove me wrong so as to revive the company. It is never my intention of having them to prove me right in the first place. Another great weakness I noted is in regard of lacking of confidence and belief, which needs to be eliminated from its key management teams should it seek to succeed.

GOD NEVER BLINKS
Dear ALL,
Today I am so excited to share the extremely good NEWS with you. This great news is of course nothing new to you, especially for those who chose to follow Him for long. Likewise, we always say that God never blinks. This is truth because He always stay in control. Whatsoever events happen surround us has a purpose and our task on earth is to believe in Him. By doing so, He will then be able to reveal to you, when you would think it not possible to know the truth. This is because of the sin inherited from the first man, Adam, that cause you to believe in youself and not God. As such, it is natural for us to cast doubts on Him.
Therefore, God is always watching over you, so never give up. We ought rather to stand firm in your faith, for great is your reward for believing in him. Always remember that God never gets tired of loving us that has been written in the Scripture. He shall never abandon any of us. He is Sovereign yet keeps every of His promises. However, He had also given us the freewill. As such, He can't force you to abide in Him despite He has all the power. Otherwise, He would destroy all human beings from the point when Eve and Adam sinned against Him. From the Scripture, we were told that man continues to sin against Him, yet He continuously forgives us.
Let us be honest to ourselves, at times when we are really down and the ones who care about us; ask us whether we are alright. The tendency for us to reply them that we are alright is very high, even though we are not.
If Lord were to ask you are you alright, even though He does not have to, because He knows your heart more than us and of course we wouldn't say "yeah, we are alright. This is because we cannot lie to the Lord. So, when the Lord were to ask you your situation, you do not have to break down in lies and say alright. Be mindful that it is alright to tell the Lord you are not alright. Nothing wrong and be honest to Him.
By telling Him the truth, He shall then reveal to us what we need to do, so as to be right with Him. Otherwise, sad to say that our own actions deny Him, and that cause us to stumble. This is because our own action can never add value to anything and everything that was created by Him. He is not insulted by our intelligence and don't forget that He is the One who give this to us. Because He is aware that our mind is limited and most often fail to see things from His perspective. As such, we can shine in the way according to His will.
So do not let these temporary events caused us to stumble. But do press on to be steadfast in our faith so as to make us strong in our faith to pursue something great and everlasting. God will wait for us to finish our racing lines.
Let us acknowledge the truth that God's eyes never blink. HE watches on us 24 hours a day, 7 days a week. This is because He cares and loves us. That's why when you feel the pain and you are going to give up. He will be there for you. He will solve your problems so long as you abide in Him. As such, when you think that you can't talk to anyone about it, then talk to the Lord because he is a true friend and he cares and he will not let you suffer alone, as advocated in Isaiah 41:10 fear not, for I am with you be not dismayed, for I am your God I will strengthen you.Yes, I will help you, I will uphold you with my righteous right hand.
Last but not least, believe He is the Mighty and Living God and of course stays in control of the universe every moment of your life. By doing so, His eyes never blink, not like us, he is watching us every moment as well. He doing so because He cares and loves us.
Trust Him and let Him be our true security,

LET US BE HIS VESSELS
HI, EVERYONE,

As some of you may be well aware that I am always so excited to share with you what I'm doing on the web.
First of all, I must say that my life is not my own, but it belongs to God, who has created me in the first palce. After my soul seeking journey, I am, just like some of you here, I write to share with you how to take your life's Mission for Christ and spread it like wildfire across the internet. To me, this is the right way to thank and glorify Him, and not me.
As reported in my preceeding articles, my life changed dramatically when I accepted Him. Since then, He has shaped me to be stronger and healthier to overcome whatsoever challenges in the future. I must admit that He never abandon me no matter what situation I am in. At times, it is my choice of not trusting Him that caused me to stumble. After numerous revelations, I discovered my true self and begin to draw His grace to do whatsoever I need to stay right with Him. I realised he truth of His words and put them in practice in my daily life. The more I submit to Him, the more I realise that I am able to accomplish more with less. At the end of the day, I still have so much energy. That's means He worked and it was not my work. This is a miracle and seems illogical to us. Yet it is the truth. In short, this is just a suspension of natural law, but the operation of higher law- Divine Law, so to speak. This is in line with his advocate that we by our means can not add any value to anything, but relying on His grace will make all things possible. He does not insult us, but due to our limited knowledge we are ocasionally blind to the truth.
He made us conquerers so long as we commit to Him wholeheartedly with our minds and souls. We will then achieve so much more in our life, do you agree?
As such, let us stay united through Him and let Him guides us to make our mission a reality so as to glorify Him and not us. Let His mission shines through the message of Christ and let us be used by Him as His vessels to do His will at the end of the day.

HOW TO CREATE A PARTNERSHIP AGREEMENT

NOTE THAT the above lists are not exhaustive, but it is a guide for creating a partnership agreement. You may include in other issues, especially those issues which are critical to your business due to its nature and complexity of your partnerships.

It is a common belief that if you and your partners do not spell out your rights and responsibilities in a written partnership agreement, the chances that you will be ill-equipped to settle conflicts when they arise are high. At times, even a minor misunderstanding may erupt out of proportion and become full-blown disputes.
Generally, your state’s law will govern many aspects of your business affairs if there is not any written agreement saying otherwise.
I) How a partnership agreement helps your business
Normally, partnership agreement allows both contract parties to structure their relationship with each other in a way that suits their business. They usually lay down the shares of profits or losses among them, the roles and responsibilities of each party, what will happen in the event that one party decided to leave and other important terms and conditions.
i) Partnership Act
This statutes normally establish the basic legal rules that govern many aspects of partnership unless they agreed otherwise.
Due to its generality, the rules sometimes may not be suitable for your particular situation. As such, it is advisable to incorporate all your the points you and your partners have agreed upon.

a) Name of the partnership.

It is important that each party's contribution in term of cash, property or services to the business before it opens and what's the ownership percentage of each partner will have. Disagreements over contributions have doomed many promising businesses.

Several question arise, as follow, will arise:-
i) How will the profits and losses be allocated in proportion to each party in the business?
ii) Will each partner be entitled to a regular withdrawal of allocated profits from the business?
iii) Will all profits be distributed at the end of each year ?
You and your partners may have different ideas about how the money should be divided up and distributed, and each of you will have different financial needs, so this is an area to which you should pay particular attention.
- Partners’ authority.
Without an agreement to the contrary, every partner can bind the partnership without the consent of the other partners. As such, you must spell it out clearly in you partnership agreement should you want otherwise.
- Decision-making.
No doubts there is no magic formula or language for this area among all involved parties, you will, at least, head off a lot of trouble should you work it out beforehand. You may want to require an unanimous vote for all the involved parties for every business decision regardless of the amount involved. Alternatively you may require an unanimous vote for major decisions, subject to certain amount, and allow each party to make minor decisions on their own. As such, your partnership agreement will have to describe and define what constitutes a major or minor decision. Hence, it is always advisable to think carefully all these issues when setting up the decision-making process for your business.
- Management duties.
It is always encouraged to have some guidelines on some key management details in advance. For example, Who will responsible to deal with customers? Supervise employees? Negotiate with suppliers? Give it a deep thought the management needs of your partnership and be sure you have covered those critical areas.
- Admitting new partners.
New partners may be brought due to the expansion of the business or other needs arise. As such, agreeing on a procedure for admitting new partners will make your lives much easier when this need arises.
- Withdrawal or death of a partner.
The rules for admitting new partners to the business may be used as the rules for handling the departure of a partner. Further more, it is also advisable to incorporate a reasonable buyout scheme in your partnership agreement.
- Resolving disputes.
It might benefit everyone involved if the partnership agreement provides for alternative dispute resolution, such as mediation or arbitration in the event of the deadlock on a certain dispute. Going to court may be a costly issue comparative to the former.
NOTE THAT the above lists are not exhaustive, but it is a guide for creating a partnership agreement. You may include in other issues, especially those issues which are critical to your business due to its nature and complexity of your partnerships.
